BANKING & FINANCIAL SERVICES
Our attorneys have extensive bank regulatory and compliance experience with both federal and state regulatory agencies, including the FRB and OCC. We have represented large foreign and domestic held banks in strategic acquisitions and divestitures in the U.S., new bank products, asset based lending, de novo branching, retail banking matters, transactions with affiliates, applications and notices to federal and state banking agencies, enforcement actions before bank regulatory agencies, formation of banks and thrift institutions.
PUBLIC FINANCE
We are dedicated to representing public entities in all phases of public finance. We represent issuers, underwriters, credit providers, trustees, and private beneficiaries in various types of tax-exempt and taxable financings. We serve as bond, underwriter, tax, disclosure, credit provider, trustee, and special counsel. Our experience includes serving as counsel in transactions involving transportation bonds, governmental bonds, qualified hospital and health facilities bonds, qualified section 501(c)3 bonds, qualified mortgage bonds, and other facilities.

COMMUNITY DEVELOPMENT
We work with bank community development groups and non-profit community development entities to finance community development projects using federal and state tax incentive programs, such as the Low Income Housing Tax Credit and New Markets Tax Credits programs. We have represented bank CDEs and tax credit syndicators in transactions that provide financing for mixed use real estate development projects and businesses located in critically underserved or low income areas in the United States.
REAL ESTATE
We represent clients in the acquisition or sale of properties on matters including the preparation of agreements, offers or options to purchase, counteroffers, negotiations, environmental considerations, tax-deferred transactions, closing preparation and review. We have extensive experience in drafting and negotiating terms of commercial leases. We deal with all aspects of condemnation proceedings including the representation of public and private entities throughout the acquisition process and with valuation appeals. We also have the ability to assist in the overall structuring of a development including acquisition of necessary zoning, special use permits, approvals from governing entities and tax incremental financing for proposed development. We are able to provide our expertise in drafting, negotiating, and structuring construction contracts for commercial office buildings and major developments.
